Technical Fire Safety Group

Park Place has advised the management team of TFSG on a trio of deals over a period of 4 years; an MBO backed by Soho Capital, a subsequent bolt-on acquisition and ultimately a merger to create a major European player in passive fire protection.

TFSG develops and manufactures state-of-the-art fire safety glass from sites in the UK and France.  Delivering a broad product range to architects, specifiers, contractors and construction professionals, enabling them to meet all their fire safety glazing requirements via a single source.

In 2018 we advised the management team on a buyout which resulted in them taking a majority equity position via an integrated finance capital structure from Soho Capital (fka ESO Capital).  In 2019 we went on to advise Pyroguard on the acquisition of Fire Glass UK, funded by ThinCats, a specialist fire glass manufacturer, which extended its product range and geographic coverage.

Most recently we advised the management team on the merger with Ergon Capital backed svt which followed a four-year period in which TFSG’s revenues and EBITDA had tripled.  The combined group will have more than 1,500 employees and a turnover of more than €300m. The market for passive fire protection is an attractive, high growth sector which benefits from strong regulatory tailwinds and the merger holds great potential for both businesses to accelerate their growth and jointly gain market share on an international level.

Neil Tilsley, CEO of TFSG, commented “With each transaction it became increasingly apparent that an experienced advisor focussed on representing the interests of the management team was essential and extremely valuable to the team.  Park Place use their experience to help facilitate transactions by reaching agreements with incumbent and new funders on several critical matters.”

Richard Firth, who led the deals for Park Place commented, “I am immensely proud to have advised the team on their series of transactions.  Each transaction provided different challenges but with proper preparation and an understanding of the context and options we have helped the team navigate issues and maximise their position.”
